Vidality – Coaching Services Terms

These Coaching Services Terms ("Coaching Terms") apply to individual and group coaching services provided by Vidality, LLC ("Vidality," "Coach"), unless superseded by a separate signed agreement.

Agreement hierarchy (what controls)

• If you and Vidality enter into a signed Coaching Agreement, Master Services Agreement (MSA), Statement of Work (SOW), or engagement letter, that signed agreement controls. • If there is a conflict between these Coaching Terms and a signed agreement, the signed agreement governs. • If no signed agreement exists, these Coaching Terms, together with Vidality's General Terms & Conditions, apply.

Nature and scope of coaching

Coaching is a collaborative, non-clinical process designed to support personal, professional, or business development. • Coaching may be provided one-on-one, in groups, or in cohort/mastermind formats. • Sessions may occur virtually, by phone, or in person, as agreed. • Coaching effectiveness depends on the Client's active participation, honesty, and commitment. Coaching does not involve diagnosing, treating, preventing, or curing any medical or mental health condition.

Non-clinical and professional disclaimer

Coaching services are not therapy and are not a substitute for medical, mental health, legal, financial, or other licensed professional advice. • Vidality is not providing medical, psychological, psychiatric, or therapeutic services through coaching. • Any decisions, actions, or outcomes resulting from coaching are the sole responsibility of the Client.

Client responsibility

Clients acknowledge that: • They are fully responsible for their decisions, actions, and results. • Coaching may involve exploration of multiple life or work domains. • Vidality is not responsible for any outcomes, losses, or consequences arising from Client choices.

Fees, payment, and scheduling

• Coaching fees, packages, and payment plans are stated on Vidality's website or booking page. • Payment is due in advance of sessions. • Clients authorize Vidality to charge the selected payment method in accordance with the chosen plan. • Sessions may be canceled or rescheduled only with at least 24 hours' notice. Late arrivals of more than 10 minutes may be treated as a no-show and forfeited.

Cancellations, refunds, and termination

• Cancellations without 24 hours' notice and no-shows are non-refundable. • If, after the first two (2) sessions, either party determines that one-on-one coaching is not a fit, the relationship may be terminated and unused prepaid sessions refunded. • Either party may terminate coaching with 30 days' written notice, subject to payment obligations already incurred. Vidality may suspend or terminate services immediately for non-payment or material breach.

Confidentiality

Vidality agrees to treat Client information as confidential and not disclose it without consent, except: • As required by law or court order • To prevent imminent harm • For anonymous professional consultation or supervision consistent with coaching ethics Clients acknowledge that coaching communications are not legally privileged in the same manner as medical or legal relationships.

No guarantees

Coaching outcomes vary by individual. Vidality makes no guarantees regarding results, performance, or outcomes.

Limitation of liability

To the fullest extent permitted by law: • Vidality is not liable for indirect, incidental, consequential, or special damages. • Vidality's total liability for any coaching-related claim is limited to the amount paid by the Client for coaching services during the engagement.

Indemnification

Clients agree to indemnify and hold harmless Vidality from claims, losses, or damages arising from their participation in coaching services, except where prohibited by law.

Governing law and venue

These Coaching Terms are governed by Texas law, with venue in Tarrant County, Texas, unless a signed agreement states otherwise.
