Vidality – Licensing Terms

These Licensing Terms apply to the licensing of Vidality microlearning content and short-duration learning modules ("Licensed Content"), unless superseded by a separate signed agreement.

Agreement hierarchy (what controls)

• If you and Vidality enter into a signed License Agreement, Master Services Agreement (MSA), Statement of Work (SOW), or similar written agreement, that signed agreement controls. • If there is a conflict between these Licensing Terms and a signed agreement, the signed agreement governs. • If no signed agreement exists, these Licensing Terms and Vidality's General Terms & Conditions apply.

License grant (high level)

Vidality grants approved clients a limited, non-exclusive, non-transferable license to use Licensed Content solely for the purpose approved in writing by Vidality and only for the duration of the applicable license term. No ownership rights are transferred.

Permitted and prohibited use

Unless otherwise agreed in writing: You may: • Use Licensed Content for internal training or education • Integrate Licensed Content into your internal platforms, systems, or programs with appropriate attribution to Vidality You may not: • Sell, sublicense, distribute, or transfer Licensed Content • Use Licensed Content for unlawful or unauthorized purposes • Remove or alter proprietary notices or attribution

Ownership and intellectual property

Vidality retains all right, title, and interest in and to the Licensed Content, including all intellectual property rights. Licensed Content is protected by copyright and other applicable laws.

Fees and payment

Licensing fees, payment terms, and license duration are established by written agreement or invoice and are not finalized through these Licensing Terms alone.

Confidentiality

Each party agrees to protect the other party's confidential information and to use it solely for purposes related to the licensed engagement, except where disclosure is required by law.

Disclaimers

Licensed Content is provided "as is" and "as available." Vidality makes no guarantees regarding: • Accuracy • Completeness • Fitness for a particular purpose • Learning, performance, or business outcomes You are responsible for determining whether Licensed Content is appropriate for your intended use.

Termination and effect

Licensing may be terminated in accordance with the applicable signed agreement. Upon termination or expiration of a license, use of Licensed Content must cease and all copies must be removed or destroyed as directed by Vidality.

Governing law

These Licensing Terms are governed by the laws of the State of Texas, with venue in Tarrant County, Texas, unless a signed agreement states otherwise.
