These Speaking Engagement Terms ("Speaking Terms") apply to speaking and presentation services provided by Vidality, LLC ("Vidality," "Speaker") unless superseded by a separate signed agreement. These terms apply to website-booked and short-form speaking engagements. Custom or institutional engagements may be governed by a separate signed agreement.

Agreement hierarchy (what controls)

These Speaking Terms are intended for website-based and short-form engagements. • If you and Vidality enter into a signed Speaker Agreement, Master Services Agreement (MSA), Statement of Work (SOW), or engagement letter, that signed agreement controls. • If there is a conflict between these Speaking Terms and a signed agreement, the signed agreement governs. • If no signed agreement exists, these Speaking Terms, together with Vidality's General Terms & Conditions, apply.

Scope of engagement

Vidality will develop and deliver a presentation or participate in a panel or similar engagement (the "Engagement") as described on the booking page, invoice, proposal, or signed agreement. Dates, times, format (in-person or virtual), and duration will be confirmed in writing.

Recording and use of content

Recording permissions are determined per engagement. • Vidality may consent or decline to video and/or audio recording. • If recording is permitted, use is limited to the purposes expressly approved (e.g., promotional, educational, or archival use), and Vidality retains ownership of its content. • Vidality reserves the right to revoke recording consent, and the client agrees to make reasonable efforts to comply. No recording or distribution is permitted without explicit approval.

Promotion and publicity

• Clients may use Vidality's name, biography, photo, and presentation title solely to promote the Engagement. • Clients grant Vidality permission to reference the client's name and logo for Vidality's own professional and marketing purposes, unless otherwise agreed in writing. • All promotional use must be professional and may not disclose confidential information.

Fees, deposits, and cancellation

• Total speaking fees, deposits, and payment deadlines will be stated at booking or in a signed agreement. • Deposits are non-refundable and reserve the event date. • If the client cancels the event for any reason, the deposit is retained as compensation for time reserved. • If Vidality cancels prior to the Engagement, any deposit paid will be returned.

Independent contractor status

Vidality provides speaking services as an independent contractor. Nothing in these Speaking Terms creates an employment, partnership, agency, or joint venture relationship.

Travel and expenses

Unless otherwise stated: • The client is responsible for reasonable travel and lodging expenses related to the Engagement. • Itemized receipts will be provided, and reimbursement is due within a reasonable time after submission.

No guarantees

Speaking engagements are educational and informational in nature. Vidality does not guarantee outcomes, business results, or attendee responses.

Term and termination

These Speaking Terms apply from booking through completion of the Engagement and automatically terminate afterward, unless otherwise stated in a signed agreement.

Force majeure

Neither party is responsible for failure or delay caused by events beyond reasonable control, including natural disasters, public health emergencies, government actions, travel disruptions, or similar events.

Governing law and disputes

These Speaking Terms are governed by Texas law, with venue in Tarrant County, Texas, unless a signed agreement states otherwise. The parties agree to make a good-faith effort to resolve disputes and, if necessary, submit disputes to non-binding mediation administered by the American Arbitration Association (AAA).
